The Maschhoffs Acquire NPP

US - NPP, LLC and The Maschhoffs LLC have announced that they have reached an agreement for The Maschhoffs to purchase substantially all of NPP's swine production assets.

The transaction involves approximately 50,000 sows, associated inventory and related market hog production, along with production facilities in Nebraska, Iowa and South Dakota. Representatives of NPP and The Maschhoffs called the deal a natural fit, citing the similar operating philosophies and values of the two organisations.

NPP Chief Operating Office Scott Burroughs said: "We are pleased to announce we have reached an agreement with The Maschhoffs to buy our swine business. The fact that our two organisations have similar values and operating philosophies should make this a smooth transition for our employees and customers. With The Maschhoffs' swine experience, solid reputation, financial strength and history of success, our employees can be assured that The Maschhoffs will continue their long-term commitment to the swine industry."

Ken Maschhoff, CEO of The Maschhoffs, said: "We view this as a very attractive growth opportunity. NPP is well known for its strong production performance and like us, its intense focus on animal care and husbandry. We are excited about entering Nebraska and look forward to becoming a good neighbor and valuable part of the rural Nebraska communities surrounding these operations."

Terms of the agreement were not disclosed. Once the transaction is complete, The Maschhoffs will be one of the nation's largest, independent, family-owned swine production operations, with approximately 192,000 sows.

In making the announcement, Ken Maschhoff indicated he expected a smooth and seamless transition.

"The employees and staff at NPP have established impressive standards of animal husbandry and production performance, and we hope they will continue that dedication working with our team going forward," he said.

Mr Burroughs indicated that the stability for employees was an important aspect of the agreement.

NPP, LLC, formerly known as Nebraska Pork Partners, operates approximately 80 farms throughout Nebraska, north-west Iowa, and South Dakota.

The two organisations expect the transaction, which is subject to regulatory approval, to be completed by the end of the first quarter of 2011.

The Maschhoffs LLC is a pork production company headquartered in Carlyle, Illinois. As a family-owned business, it has more than 100 years of experience in pork production. Following the acquisition, The Maschhoffs will manage 192,000 sows and associated market hog production in nine states. The company focuses on creating environmentally and economically sustainable pork production systems by networking with more than 320 other independent farm operations. The Maschhoffs are able to provide enough pork for more than 10 million consumers annually.
